Financial Markets Conduct (Goodman Property Services (NZ) Limited) Exemption Notice 2025

The Financial Markets Conduct (Goodman Property Services (NZ) Limited) Exemption Notice 2025 exempts Goodman Property Services (NZ) Limited (GPSNZ) from Part 3 of the Financial Markets Conduct Act 2013 (the FMC Act), which contains disclosure requirements for offers of financial products. The exemption only applies in respect of offers of units (including options to acquire units) in Goodman Property Trust that are made under the GPSNZ Long Term Incentive Plan to an eligible person (such as employees or directors of GPSNZ).

Various conditions apply, reflecting similar conditions imposed by:

1. the exclusion in clause 8 of Schedule 1 of the FMC Act, and related provisions of the FMC Act and the Financial Markets Conduct Regulations 2014;
2. the Financial Markets Conduct (Goodman Group) Exemption Notice 2017 and Financial Markets Conduct (Goodman Group) Exemption Notice 2022; and
3. the Financial Markets Conduct (Employee Share Purchase Schemes) Exemption Notice 2021.
